Terms of service

1. Who we are, and acceptance

WoofRank, based in India. These terms apply to your use of woofrank.com and to every proposal, statement of work (SOW) and invoice we issue. You accept them by using the site, by approving a proposal by email or e-signature, or by paying an invoice; electronic acceptance is valid under the Information Technology Act 2000.

Our services are for businesses. By engaging us you confirm you are acting for a business, not as a consumer.

2. Definitions

Services: SEO; AI search optimization, meaning answer engine optimization (AEO) and generative engine optimization (GEO); performance marketing, meaning paid advertising on Google, Meta and LinkedIn; and growth marketing, meaning content, conversion rate optimisation, analytics, funnel work and website builds. Packages: SNIFF (one-time audits), FETCH (monthly retainers, and the fixed-scope website build), ALPHA (full programmes, including the CRO programme), PACK LEADER (bundle), as described on the pricing page. Fixed-scope project: a package with a defined deliverable and price rather than a monthly fee, such as the FETCH website build. SOW: the proposal or statement of work that defines scope, deliverables, timeline and price for your engagement. Deliverables: what we produce for you under an SOW. Client Materials: the content, data, brand assets and access you give us. Ad Spend: money paid to advertising platforms. Platforms: Google, Meta, LinkedIn, Microsoft, OpenAI, Perplexity, Anthropic and any other search engine, AI engine or advertising network.

3. Using the website

You may use the site for personal or business purposes. You may not scrape it, reverse engineer it, misuse it, or use the WoofRank name, wordmark or logo without our written permission. Site content is general information, not professional advice, and we may change or withdraw it. Links to third-party sites are at your own risk.

4. Engagement and scope

The SOW controls scope, deliverables, timeline and price. If the SOW and these terms conflict, the SOW wins; if these terms and website content conflict, these terms win. The refund and cancellation policy and the process guarantee in clause 8 form part of these terms. Anything outside the SOW is a change request, quoted separately in writing before work starts. Work starts when we have received the first payment and the access listed in the SOW. Package descriptions on the website are indicative; the SOW is definitive.

5. Your responsibilities

  • Give us the access listed in the SOW (for example Google Analytics, Search Console, Google Ads, Meta Business Manager, LinkedIn Campaign Manager, your CMS and hosting) within 5 working days, through partner or manager roles rather than personal passwords.
  • Approve or return each deliverable within 5 working days. If we hear nothing for 10 working days, the deliverable is deemed approved.
  • Give us accurate business information and lawful, non-infringing Client Materials.
  • Stay responsible for your products, prices, claims and legal compliance, including advertising standards, consumer law, and data-protection law for your own customers' data.
  • Own and pay for your advertising accounts, and keep backups of your own website.

6. Fees, invoicing and payment

  • Prices are those on the India (INR) or global (USD) price list current at the proposal date. No retainer is sold below ₹25,000 a month in India or USD 750 a month elsewhere.
  • All fees exclude GST (18% where applicable), VAT, withholding and other taxes, which you bear. For clients outside India we invoice under the GST export-of-services rules and you agree to provide documents we reasonably need for that.
  • SNIFF and other one-time audits are paid 100% in advance. Retainers are invoiced monthly in advance on the 1st, with the first month and any setup fee paid before kick-off. Invoices are due within 7 days.
  • Invoices unpaid after 15 days attract interest at 2% per month, and we may pause work after giving notice; work resumes on payment.
  • Fixed-scope projects are paid 50% on start and 50% on launch. Launch means delivery of the files to your hosting or, if you delay launch, 30 days after we tell you the build is ready. The first 50% is not refundable once design work has started.
  • USD payments are made by card or bank transfer; you bear bank and currency charges. Indian clients may deduct TDS where the law requires it and provide the certificate.
  • Ad Spend is paid by you directly to the Platforms and is never included in our fees. We do not charge a percentage of Ad Spend.
  • We may revise prices for future periods with 30 days' written notice. Refunds are governed by the refund and cancellation policy.

7. Term, renewal and termination

SNIFF ends on delivery. Fixed-scope projects end on launch. Retainers run for the minimum term stated in the SOW (3 months for FETCH, 6 months for ALPHA and PACK LEADER unless the SOW says otherwise) and then continue month to month. After the minimum term either party may end the engagement with 30 days' written notice by email. If you end a retainer inside the minimum term, the fees for the remaining months of that minimum are payable. If we miss any item of the process guarantee in clause 8, you may end the engagement at the end of that month with no notice period and no fees for the remaining minimum term. Either party may terminate for a material breach that is not cured within 14 days of written notice, and we may terminate immediately for non-payment beyond 30 days, insolvency, or a Platform-policy violation. On termination you pay for work done and for the notice period, and we hand over paid-for Deliverables, administrator rights and reports within 10 working days. Clauses on intellectual property, confidentiality, liability, payment and governing law survive termination.

8. No guarantees

We do not guarantee any ranking, position, traffic level, AI-answer citation or recommendation, lead volume, revenue, return on ad spend, advertising approval, or timeline. Search engines and AI platforms change their systems without notice and we do not control them. Google itself says that no one can guarantee a number-one ranking. Any numbers in a proposal are estimates from past data, not promises. We are not responsible for Platform outages, account suspensions or policy changes, and our advice is based on the information you give us.

What we do guarantee is the work, and this guarantee forms part of these terms:

  • A written, prioritised plan within ten working days of getting access.
  • A founder on every call, and a founder reviewing every deliverable before you see it.
  • The monthly report, opening with leads and cost per lead, in your inbox by the 5th.
  • A reply to any message within one working day.
  • Every account, asset and login created in your name from day one.

If we miss any of these, you may end the engagement at the end of that month with no notice period and no fees for the remaining minimum term, as clause 7 says.

9. Intellectual property

Client Materials remain yours; you grant us a licence to use them to deliver the Services. Deliverables are assigned to you on receipt of full payment for the SOW under which they were created; until then they are licensed to you for review only. We keep our pre-existing tools, templates, prompts, frameworks, checklists, know-how and anonymised learnings, and license them to you as needed to use the Deliverables. Third-party assets such as stock images, fonts, plugins and software are subject to their own licences, which you must maintain. We will only name you as a client, show your logo, or quote your results with your written consent.

10. Accounts and data

You own every advertising, analytics and CMS account. We work through agency or partner access and remove ourselves when the engagement ends. Where we process personal data belonging to your customers, for example customer lists, CRM data or pixel data, we act as your processor under a data processing addendum, and you warrant that you have the notices and consents needed to share that data with us and with the Platforms.

11. Confidentiality

Each party keeps the other's non-public information confidential, including pricing, strategy, performance data and customer data, for 3 years after the engagement ends, and indefinitely for trade secrets and personal data. Standard exclusions apply for information that is public, already known, independently developed, or required to be disclosed by law.

12. Compliance and platform policies

Both parties comply with Google Ads, Meta and LinkedIn advertising policies, the ASCI Code, the DPDP Act and, where applicable, the GDPR. We may refuse or stop work that we reasonably believe breaches the law or a Platform policy. You are responsible for advertising claims, substantiation and landing-page compliance.

13. Limitation of liability

To the extent permitted by law, our total liability arising out of or relating to the Services or these terms, whether in contract, tort or otherwise, is limited to the fees you paid us in the 3 months before the event giving rise to the claim. We are not liable for indirect, incidental, special or consequential loss, loss of profit, revenue, data or goodwill, Ad Spend, or any act or omission of a Platform. Nothing limits liability for fraud, wilful misconduct, death or personal injury, or breach of confidentiality.

14. Indemnities

You indemnify us against third-party claims arising from Client Materials, your products or services, your advertising claims, or your breach of law or Platform policy. We indemnify you against claims that our original Deliverables infringe a third party's intellectual property, excluding Client Materials and third-party assets.

15. Non-solicitation

During the engagement and for 12 months after it, neither party will solicit for employment the other's staff who were involved in the engagement.

16. Force majeure

Neither party is liable for delay or failure caused by events beyond its reasonable control, including Platform-wide outages, government orders and internet failures. Payment obligations are not excused.

17. Governing law and disputes

These terms are governed by the laws of India. Disputes are first raised between the principals of each party for good-faith negotiation for 30 days. If unresolved, they are subject to the exclusive jurisdiction of the courts at Kolkata, West Bengal, India. Either party may seek urgent injunctive relief anywhere to protect intellectual property or confidential information.

18. Notices

Notices are sent by email: to us at woofrank26@gmail.com, and to you at the email on your SOW. A notice is deemed received on the next working day.

19. General

The SOW and these terms are the entire agreement. Amendments must be in writing. Neither party may assign the agreement without consent, though we may use subcontractors under our own responsibility. If a clause is unenforceable the rest stands. A failure to enforce is not a waiver. We are independent contractors; nothing creates an agency, partnership or employment relationship. We may update these terms for future engagements with 30 days' notice on this page; an existing SOW keeps the version it was signed under.
